2. Definitions

• "Account" means the user account you create to access our Service
• "Content" means all audio stories, text, graphics, music, software, and other materials available on the Platform
• "Subscription" means the paid premium membership that grants access to premium Content
• "Free User" means a user who has not purchased a Subscription
• "Premium User" means a user with an active paid Subscription
• "User Content" means any content, data, or information you submit to the Platform

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years of age to create an account and use our Service. By creating an account, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms.

3.2 Account Creation

To access certain features of our Service, you must create an account by providing:

• Accurate and complete information (name, email address, password)
• A valid email address that you regularly access
• Alternatively, you may register using Google OAuth authentication

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use or security breach
• Ensuring you log out from your account at the end of each session

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.4 Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without prior notice, if:

• You violate these Terms or any applicable laws
• Your account is used for fraudulent or illegal activities
• You provide false or misleading information
• You engage in conduct that harms the Platform or other users

4. Service Description

4.1 Platform Overview

KathaSuno is a digital platform offering multilingual audio stories in six Indian languages: English, Hindi, Malayalam, Tamil, Telugu, and Kannada. Our Service includes:

• Access to a library of audio stories across multiple genres
• Streaming of audio content
• Multi-language support for content
• Personalized recommendations based on listening preferences

4.2 Free vs. Premium Access

Free Users: May browse our story catalog but cannot stream or download audio content without a Subscription.

Premium Users: Have unlimited access to all audio stories, can stream content in all available languages, and enjoy an ad-free experience.

4.3 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service at any time
• Add or remove Content from the Platform
• Change features, functionality, or availability of the Service
• Update our technology, infrastructure, or security measures

We will make reasonable efforts to notify you of significant changes, but we are not liable for any modifications to the Service.

5. Subscription Plans and Payments

5.1 Subscription Plans

We offer the following Subscription plans:

• Monthly Subscription: Billed monthly, with automatic renewal
• Yearly Subscription: Billed annually, with automatic renewal

Current pricing is displayed on our Pricing page and may be updated from time to time. Price changes will be communicated in advance and will not affect active Subscriptions until the next renewal period.

5.2 Payment Processing

All payments are processed securely through our payment partner, Razorpay. By subscribing, you authorize us to charge your chosen payment method (credit/debit card, UPI, net banking) for the Subscription fees.

You represent and warrant that:

• You have the legal right to use the payment method provided
• The information you provide is accurate and complete
• You will maintain sufficient funds or credit to fulfill payment obligations

5.3 Automatic Renewal

Your Subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current Subscription fee using your saved payment method.

For UPI Autopay: By setting up UPI autopay, you authorize recurring payments through your UPI app. You can manage or cancel the autopay mandate directly in your UPI application.

For Card Autopay: By saving your card details, you authorize recurring charges to your card at each renewal period.

5.4 Taxes

All Subscription fees are exclusive of applicable taxes (including GST). You are responsible for paying all taxes associated with your Subscription.

5.5 Price Changes

We reserve the right to modify Subscription pricing. We will provide at least 30 days' advance notice of any price increase. The new pricing will apply to your next billing cycle after the notice period. If you do not accept the price change, you may cancel your Subscription before the new rate takes effect.

6. Free Trial (If Applicable)

We may offer free trials or promotional periods from time to time. Free trial eligibility and duration will be specified at the time of the offer. Unless you cancel before the trial ends, you will be automatically charged for a Subscription when the trial period expires.

We reserve the right to determine your free trial eligibility and to revoke trial access if we believe you are abusing the trial offer.

7. Content License and Restrictions

7.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and stream Content through the Platform for personal, non-commercial use only
• Use the Service on devices you own or control

7.2 Ownership

All Content, including but not limited to audio recordings, stories, text, graphics, logos, and software, is the exclusive property of KathaSuno or its licensors and is protected by Indian and international copyright, trademark, and other intellectual property laws.

7.3 Prohibited Uses

You expressly agree NOT to:

• Download, copy, reproduce, distribute, or create derivative works from our Content
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use any automated systems (bots, scrapers, crawlers) to access the Service
• Reverse engineer, decompile, or disassemble any part of the Platform
• Share your account credentials or Subscription access with others
• Use the Service for any commercial purpose without our written authorization
• Attempt to circumvent any technological protection measures or access controls
• Upload viruses, malware, or any harmful code
• Interfere with or disrupt the Service or servers
• Violate any applicable laws or regulations

Violation of these restrictions may result in immediate termination of your account and legal action.

8. User Conduct and Prohibited Activities

As a User, you agree to use the Service responsibly and lawfully. You shall NOT:

• Use the Service to transmit or distribute unlawful, defamatory, obscene, or offensive content
• Harass, threaten, or harm other users or our staff
• Impersonate any person or entity or misrepresent your affiliation
• Engage in fraudulent activities or identity theft
• Violate any third-party rights, including intellectual property, privacy, or publicity rights
• Use the Service to promote or facilitate illegal activities
• Collect or harvest personal information of other users without consent

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions.

9. Intellectual Property Rights

9.1 Our Rights

All intellectual property rights in the Platform, including but not limited to copyrights, trademarks, patents, trade secrets, and database rights, are owned by or licensed to KathaSuno. The KathaSuno name, logo, and all related names, logos, and slogans are trademarks or registered trademarks of KathaSuno.

9.2 Feedback

If you provide us with any feedback, suggestions, or ideas ("Feedback"), you grant us an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback without any obligation to compensate you.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Disclaimers and Warranties

11.1 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, secure, or virus-free
• Warranties regarding the accuracy, reliability, or completeness of Content

11.2 Content Disclaimer

While we strive to ensure that all Content is lawful and appropriate, we do not endorse, guarantee, or assume responsibility for:

• The accuracy, completeness, or quality of Content
• Any errors, omissions, or offensive material in Content
• Any consequences arising from your use of or reliance on Content

11.3 Third-Party Links

Our Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third-party sites. Your use of third-party websites is at your own risk.

11.4 No Professional Advice

Content on our Platform is for entertainment purposes only and does not constitute professional, medical, legal, or financial advice. You should not rely on Content as a substitute for professional advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• KATHASUNO, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• WE SHALL NOT BE LIABLE FOR ANY FAILURE OR DELAY IN PERFORMANCE RESULTING FROM CAUSES BEYOND OUR REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, WAR, TERRORISM, RIOTS, INTERNET FAILURES, OR ACTS OF GOVERNMENT

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless KathaSuno, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• Any User Content you submit or transmit through the Service
• Your breach of any representation or warranty contained in these Terms

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at [email protected]. Upon termination, you will lose access to your account and all associated data.

14.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Suspected fraudulent or illegal activity
• Prolonged inactivity
• Requests by law enforcement or government agencies

14.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• All licenses and rights granted to you will terminate
• You remain liable for all obligations incurred prior to termination
• Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, indemnification, and limitations of liability

15. Grievance Redressal Mechanism

In compliance with the Information Technology Act, 2000, and the Consumer Protection Act, 2019, we have appointed a Grievance Officer to address your concerns.

16. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by an authorized representative of KathaSuno.

20. Entire Agreement

These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and KathaSuno regarding the Service and supersede all prior agreements, communications, and understandings, whether oral or written.

21. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations under these Terms without restriction or notification.

22. Language

These Terms are drafted in English. Any translations provided are for convenience only. In case of any discrepancy between the English version and translations, the English version shall prevail.
